1. Legally Binding Agreement
By accessing, browsing, or utilizing the services provided by Corvya Global Ltd. ("Company", "we", "us", or "our"), including but not limited to digital software development, global sourcing, and dropshipping consultation, you explicitly agree to be bound by these comprehensive Terms and Conditions. These Terms constitute a legally binding agreement between you ("Client", "User", "Merchant") and Corvya Global Ltd., a registered business entity in the United Kingdom. If you do not agree to every provision of these Terms, you must immediately cease use of our website and services.
2. Scope of Services & Independent Contractorship
Corvya Global Ltd. operates as a dual-faceted agency providing: (a) bespoke digital transformation services (including website development, eCommerce infrastructure, and software engineering), and (b) international supply chain solutions (including sourcing, dropshipping facilitation, and trade compliance guidance). In all engagements, Corvya Global Ltd. acts as an independent contractor. No agency, partnership, joint venture, or employer-employee relationship is intended or created by these Terms.
3. Billing, Payment & Third-Party Processors
All financial transactions are securely processed via certified third-party payment gateways (e.g., Stripe, PayPal). By submitting payment information, you authorize us and our respective payment gateways to charge the designated payment method for the total amount of the transaction, including applicable taxes and fees. We do not store full credit card data on our servers. You represent and warrant that you possess the legal right to use any payment method utilized in connection with any transaction. Chargebacks or payment disputes initiated without prior good-faith communication with our support team will be aggressively contested and may result in the immediate suspension of all services and legal action for breach of contract.
4. Acceptable Use & Compliance
You agree to utilize our platform and services strictly for lawful purposes. You are strictly prohibited from using our services to: (a) facilitate the sale of illegal, counterfeit, or heavily regulated goods bypassing compliance; (b) violate any international intellectual property rights; (c) transmit malicious code, malware, or exploit vulnerabilities; (d) engage in fraudulent transactions or money laundering activities. Corvya Global Ltd. reserves the right to terminate services immediately upon suspicion of a violation of our Acceptable Use Policy, cooperating fully with law enforcement and payment processors.
5. Intellectual Property & Transfer of Rights
For custom digital deliverables (e.g., software, websites), Corvya Global Ltd. retains full intellectual property ownership until all invoices and milestones are paid in full. Upon full payment, a perpetual, non-exclusive, non-transferable license—or full ownership, as defined in specific service-level agreements (SLAs)—is granted to the client. Pre-existing proprietary code, frameworks, or third-party libraries incorporated into deliverables remain the property of their respective owners.
6. Disclaimer of Warranties & Limitation of Liability
OUR SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Corvya Global Ltd. assumes no liability for supply chain delays, customs seizures, force majeure events, digital downtime, or third-party platform policy changes (including payment gateway holds). In no event shall our total liability to you for all damages exceed the total amount paid by you to us during the three (3) months preceding the claim.
7. Governing Law, Jurisdiction & Dispute Resolution
These Terms shall be governed, construed, and enforced exclusively in accordance with the laws of the United Kingdom, without referencing its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts located in the United Kingdom. Prior to initiating formal litigation, both parties agree to engage in mandatory, good-faith mediation for a period of no less than thirty (30) days.
